User agreement

Version of [date]. Draft

This Agreement sets the rules for using Spoudi CRM for everyone with an account in the Service: Institution staff and parents (legal guardians). If you use the Service on behalf of an Institution, the commercial terms are in the Public Offer.

By creating an account, signing in or using the Service, you confirm that you have read the Agreement and agree to it. If you do not agree, please do not use the Service.

1. Parties and terms

Service operator: [full name], registration no. [ID], address [legal address], email support@spoudi.io ("Spoudi").

The terms "Service", "Institution", "User" and "Institution Data" have the meanings given in the Privacy policy. "Parent" means a parent or other legal guardian of a student.

2. Subject of the agreement

Spoudi gives the User access to the features of the Service that the Institution has opened to them (staff) or that are available in the parent portal. Access depends on the role and rights set by the Institution.

The Service belongs to Spoudi, and Institution Data belongs to the Institution or the relevant persons. Access does not transfer ownership of the software.

3. Account and access

  • A staff account is created by the Institution. A parent account is created on the Institution's invitation or on request.
  • A User must be an adult with legal capacity. There are no accounts for children.
  • You provide accurate data and keep it up to date. One account belongs to one person.
  • Keep your password secret and do not share access. You are responsible for actions made under your account. If you notice unauthorized access, tell the Institution and support@spoudi.io immediately.

4. What is and is not allowed

You may use the Service lawfully and as intended: to organize the educational process, communicate with the Institution and keep records.

It is forbidden to:

  • try to access other accounts, another Institution's data, or bypass access restrictions;
  • enter or transmit illegal or offensive content, or data you have no right to process;
  • run malicious code, overload the Service, scrape data automatically, or run security tests without written permission;
  • copy, decompile, reproduce or resell the Service, its interface and materials, except where the law allows;
  • use the Service in a way that violates the rights of children, parents, staff or third parties.

5. Data and confidentiality

Personal data processing is described in the Privacy policy. A staff member who has access to student and parent data must use it only for work purposes, keep it confidential and not disclose it, even after leaving the Institution.

Parents have access only to their child's data and their own payments.

6. AI assistant

The AI assistant helps get answers and prepare actions (for example a list of debtors or a reminder). Answers are generated automatically and may contain errors, so check them before use.

Actions that change data (for example creating reminders) are performed by the AI assistant only after your confirmation. The User is responsible for a confirmed action.

7. Online payment

If the Institution has enabled online payment, an independent payment service (LiqPay, WayForPay, Monobank) processes the payment under its own rules. Spoudi does not store your card data. Terms of services, refunds and payment disputes are governed by the agreement with the Institution and the payment service.

8. Intellectual property

The software, design, texts, the Spoudi brand and other Service materials are protected by intellectual property law. You receive a non-exclusive, non-transferable right to use the Service while access lasts, for the purposes in this Agreement.

We may use feedback and suggestions you send about the Service free of charge to improve it.

9. Availability and support

We make reasonable efforts to keep the Service running but do not guarantee it is free of failures. Maintenance is possible and we try to announce it in advance. The service level for Institutions is set by the plan or contract [SLA, if any].

Support: support@spoudi.io. Institution staff contact us through the Institution unless agreed otherwise.

10. Disclaimer and limitation of liability

The Service is provided "as is". To the extent the law allows, Spoudi is not liable for indirect losses, lost profit, the actions of the Institution or Users, the accuracy of data entered by the Institution, internet outages, or third-party services (payment, email, AI provider).

Spoudi's total liability to a User is limited to [the amount paid by the Institution for the Service in the previous 3 months]. This limit does not apply where the law forbids it (for example in case of intent).

Consumer rights that cannot be limited by law are preserved.

11. Suspension and termination

We may temporarily restrict or end access if you breach the Agreement, create a security risk, or at the request of the Institution that manages your access. You may stop using the Service at any time. The end of an Institution's work with Spoudi is governed by the Public Offer.

12. Changes to the Agreement

We may change the Agreement. A new version takes effect when published on this page, and we notify material changes in the Service or by email. Continued use afterwards means you accept the new version.

13. Governing law and disputes

The Agreement is governed by the law of Ukraine. The parties try to resolve disputes by negotiation and, failing that, in the court at Spoudi's location [or in accordance with Ukrainian consumer protection law].

If any provision is held invalid, the rest remain in force.
